1. Acceptance of Terms

By accessing or using NexusPoint Labs products (Ledger, SpeakEasy, or any other tool offered at nexuspointlabs.ca or its subdomains), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

2. About Our Services

Ledger is an AI-powered expense tracking tool that reads receipts, auto-categorizes transactions, and exports Canadian tax forms (T2125). It is designed for Canadian freelancers, sole proprietors, and small business owners.

SpeakEasy is an AI voice dictation tool that transcribes spoken audio and formats the text into clean, polished output (natural, formal, email, list, or raw formats).

Both tools are self-hosted on infrastructure controlled by NexusPoint Consulting in Milton, Ontario, Canada.

3. Free Trial and Pricing

Free Trial: New users receive a limited free trial at no cost and with no commitment. The trial allows you to evaluate the product before deciding to subscribe. The trial period length is determined at the time of access and will be communicated to you when your account is created.

Paid Plans: After the trial period, continued access requires a paid subscription. Current pricing:

  • Ledger: $9–$15 CAD per user per month (billed by invoice)
  • SpeakEasy: $5–$8 CAD per user per month (billed by invoice)

Billing: Invoices are issued manually by NexusPoint Consulting. Payment terms are specified on each invoice. We reserve the right to adjust pricing with 30 days' notice to existing subscribers.

4. Account Responsibilities

You are responsible for:

  • Providing accurate information when requesting access
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately if you suspect unauthorized access
  • Ensuring the financial data and receipts you upload to Ledger are accurate and belong to you

You may not share your account credentials with others. Each user must have their own account.

5. Acceptable Use

You agree not to:

  • Use the services for any unlawful purpose
  • Upload content that is fraudulent, copyrighted by others without permission, or contains malware
  • Attempt to access other users' data or circumvent security measures
  • Reverse engineer, decompile, or attempt to extract the source code of our applications
  • Use the services to process data on behalf of third parties without their consent
  • Resell or sublicense access to the services without written permission

6. AI Processing Disclaimer

Our tools use artificial intelligence to process your data (receipt OCR, transaction categorization, speech-to-text transcription, and text cleanup). While we strive for accuracy, AI processing is not perfect:

  • Ledger: AI-extracted receipt data (vendor, amount, tax, date) may contain errors. You are responsible for reviewing and confirming all extracted data before relying on it for tax filing. Always verify transactions against original receipts.
  • SpeakEasy: Transcription and text cleanup may contain inaccuracies. You are responsible for reviewing the output before using it in professional or legal contexts.

NexusPoint Labs is not liable for errors in AI-processed data. The tools are aids for human review, not replacements for it.

7. No Financial or Tax Advice

Ledger is a tool for tracking and organizing expenses. It is not financial, tax, or accounting advice. The T2125 export is a convenience feature that organizes your data into the standard CRA format — it does not guarantee tax compliance or accuracy. You are responsible for ensuring your tax filings are correct. Consult a licensed accountant or tax professional for advice specific to your situation.

8. Service Availability

Our services are self-hosted and we strive for high availability. However, we do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

  • Scheduled maintenance and updates
  • Internet service provider outages
  • Power outages or hardware failures
  • Security updates requiring restarts

We are a small team and do not offer 24/7 uptime guarantees. We will communicate planned maintenance to active users via email when possible.

9. Data Backup

You are encouraged to export your data periodically (Ledger supports CSV export). While we take reasonable measures to protect your data, we are not responsible for data loss caused by hardware failure, software errors, or events beyond our control. Regular export of your data is your best protection.

10. Limitation of Liability

To the maximum extent permitted by law, NexusPoint Consulting and NexusPoint Labs shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from inaccurate AI-processed data
  • Damages resulting from service unavailability
  • Any claim arising from your reliance on exported tax forms

Our total liability for any claim arising from these services shall not exceed the amount you have paid us in the 3 months preceding the claim.

11. Account Termination

You may request account deletion at any time by emailing support@nexuspointconsulting.ca. We will permanently delete your account and all associated data.

We reserve the right to suspend or terminate accounts that violate these terms, fail to pay invoices after 60 days, or remain inactive for more than 12 months. We will provide email notice before terminating a paid account, except in cases of serious violation.

12. Intellectual Property

The NexusPoint Labs brand, application code, design, and content are the intellectual property of NexusPoint Consulting. You retain full ownership of all data you upload or create (transactions, receipts, dictations, transcriptions). We claim no ownership rights over your data.

13. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will revise the "Last updated" date at the top of this page. For significant changes, we will notify active users by email. Continued use of the services after changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.
